1. Acceptance of Terms

By accessing and using Apex Creators Network, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform.

2. Creator Responsibilities

As a creator on our platform, you agree to:

• Provide accurate and truthful information about your profile
• Maintain the follower count and engagement metrics stated in your profile
• Deliver content according to campaign briefs and deadlines
• Comply with all applicable laws and platform guidelines
• Not engage in fraudulent activities or misrepresent your metrics

3. Campaign Agreements

When you apply to a campaign:

• You enter into a binding agreement with the brand
• You must deliver content as specified in the campaign brief
• Payment is contingent on successful completion and approval
• You grant brands the rights to use your content as agreed

4. Payment Terms

Payments are processed as follows:

• Within 7-14 business days after campaign completion
• Only after brand approval of deliverables
• To the payment method specified in your account
• Subject to applicable taxes and deductions

5. Intellectual Property

You retain ownership of your content, but grant Apex Creators Network and participating brands a license to use, display, and promote your content as necessary for campaign execution and platform operations.

6. Account Termination

We reserve the right to suspend or terminate accounts that:

• Violate these terms of service
• Engage in fraudulent or deceptive practices
• Fail to deliver on campaign commitments
• Misrepresent metrics or engagement data

7. Limitation of Liability

Apex Creators Network is not liable for disputes between creators and brands, payment delays beyond our control, or any indirect damages arising from platform use.

8. Changes to Terms

We may update these terms from time to time. Continued use of the platform after changes constitutes acceptance of the updated terms.

10. Strict Confidentiality, Non-Disclosure & Protection of Trade Secrets (Apexone Studio)

BINDING NON-DISCLOSURE AND CONFIDENTIALITY COVENANT

By accessing, registering on, or utilizing the platform, the User ("Creator", "Influencer", or "Contractor") expressly acknowledges, stipulates, and agrees to be bound by an irrevocable and strict duty of confidentiality regarding all proprietary information, internal operations, methodologies, and trade secrets ("Confidential Information") of Apexone Studio and its affiliated entities, including Apex Creators Network.

The User irrevocably covenants that they shall not, under any circumstances, directly or indirectly, disclose, disseminate, publish, reproduce, or otherwise communicate any Confidential Information to any third party. This prohibition encompasses, without limitation, the following obligations:

• Absolute Prohibition on Disclosure: The User shall refrain from discussing, leaking, or transmitting any internal company matters, ongoing campaigns, strategic discussions, financial data, or operational procedures, whether verbally, in writing, or via any digital or electronic medium.
• Protection of Trade Secrets: The User acknowledges that all methodologies, client lists, software, algorithms, and business strategies of Apexone Studio constitute highly valuable trade secrets. Any unauthorized acquisition, use, or disclosure of these trade secrets is strictly prohibited under the Uniform Trade Secrets Act (UTSA) and applicable international intellectual property laws.
• Omnichannel Enforcement: This confidentiality covenant applies universally across all platforms and environments, encompassing both offline interactions (e.g., private conversations, physical documentation) and online activities (e.g., social media platforms, private messaging applications, public forums, and digital broadcasts).

MATERIAL BREACH AND SEVERE LIQUIDATED DAMAGES

Any violation, or threatened violation, of this confidentiality provision shall constitute a material breach of these Terms. In the event of such a breach, Apexone Studio reserves the immediate right to seek injunctive relief without the necessity of posting a bond, alongside pursuing exhaustive compensatory, punitive, and liquidated damages. The offending party shall be held fully liable for all sustained financial injuries, legal fees, and reputational damages to the absolute maximum extent permitted by law, including the forfeiture and seizure of personal and professional assets where legally actionable.
